Terms of Use

1. Acceptance of Terms

By accessing or using the Goxi platform ("Service"), operated by Xtok Inc. ("Company," "we," "us"), you agree to be bound by these Terms of Use. If you do not agree, do not use the Service.

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms. We will notify you of material changes via email or in-product notice.

2. Definitions

• "Content" — any text, images, video, audio, or other material uploaded, created, or generated through the Service.
• "User Content" — Content you provide or upload to the Service, including source videos, scripts, and brand assets.
• "Generated Content" — Content produced by Goxi's AI Crew on your behalf, including repurposed clips, captions, thumbnails, and social posts.
• "Crew" — the set of autonomous AI agents (Analyst, Producer, Writer, Editor, Community Manager, Operations Manager) that operate within your Workspace.
• "Workspace" — your dedicated environment within the Service for managing content operations.

3. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By creating an account, you represent that all information you provide is accurate and that you have authority to bind any entity you represent.

4. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@goxi.ai of any unauthorized access or security breach.

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

5. Service Description

Goxi is an AI-powered content operations platform that provides autonomous Crew members to help creators repurpose, distribute, and manage content across platforms. Key capabilities include:

• Content Waterfall — transforming a single source video into multi-platform content (clips, posts, newsletters, threads).
• Autonomous Crew Operations — AI agents that analyze performance, plan calendars, write scripts, edit clips, manage community engagement, and coordinate workflows.
• Platform Integrations — connections to YouTube, Instagram, TikTok, X/Twitter, LinkedIn, Slack, Notion, and other third-party services.

We may modify, update, or discontinue features at any time. We will provide reasonable notice for material changes that affect your workflow.

6. Subscription & Payment

Access to Goxi requires a paid subscription. By subscribing, you authorize us to charge your payment method on a recurring basis at the current rate. All fees are non-refundable unless otherwise stated or required by law.

We may change pricing with at least 30 days' prior notice. If you do not accept the new pricing, you may cancel before the next billing cycle.

7. Your Content

You retain ownership of all User Content you provide to the Service. By uploading User Content, you grant us a limited, non-exclusive license to process, transform, and distribute it as directed through your Workspace configuration.

You represent that you have all necessary rights to the User Content and that it does not infringe any third-party rights. You are solely responsible for ensuring compliance with applicable copyright and licensing requirements.

8. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Generate or distribute misleading, defamatory, or harmful content.
• Attempt to reverse-engineer, decompile, or extract source code from the Service.
• Interfere with or disrupt the integrity of the Service or its infrastructure.
• Use automated means to access the Service outside of approved APIs and integrations.
• Resell, sublicense, or share account access without authorization.

9. AI-Generated Content

We recommend human review of all Generated Content, particularly for content that includes factual claims, legal statements, or medical information. You acknowledge that similar outputs may be generated for other users from different inputs.

10. Intellectual Property

The Service, including its design, software, algorithms, and branding, is owned by Xtok Inc. and protected by intellectual property laws. Nothing in these Terms grants you rights to our trademarks, logos, or proprietary technology beyond what is necessary to use the Service.

Subject to your compliance with these Terms, you own the Generated Content produced in your Workspace to the extent permitted by applicable law.

11. Third-Party Services

The Service integrates with third-party platforms (YouTube, Instagram, TikTok, Slack, Notion, etc.). Your use of these integrations is subject to the respective third-party terms. We are not responsible for the availability, accuracy, or policies of third-party services.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted, error-free, or secure operation of the Service. AI outputs may vary in quality and should not be relied upon as professional advice.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, XTOK INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

Our total aggregate liability shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

14. Termination

You may cancel your subscription and close your account at any time through your Workspace settings. We may suspend or terminate your access if you violate these Terms or if required by law.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, after which it will be permanently deleted unless retention is required by law.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in Wilmington, Delaware.

YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION.
